1. Introduction & Acceptance

Welcome to MindPal! These Terms of Service ("Terms") govern your access to and use of MindPal's AI-powered productivity platform, including our website (https://mindpal.space), applications, browser extensions, integrations, and all related services (collectively, the "Services").

By creating an account, accessing, or using the Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you may not use the Services.

If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms, and "you" refers to both you and the organization.

2. Definitions

  • "MindPal," "we," "us," "our": Refers to MindPal and its affiliates
  • "Services": All MindPal products, platforms, APIs, and features, including but not limited to MindPal Copilot, MindPal Brain, MindPal Search, MindPal Creator, Agent Hub, and MindWhisper
  • "User," "you," "your": The individual or entity accessing or using the Services
  • "Account": Your registered user profile and associated data
  • "Customer Content": Any data, files, prompts, instructions, or information you submit, upload, or generate through the Services
  • "Agent": An AI-powered automated workflow or assistant that performs tasks based on your instructions
  • "Third-Party Services": External platforms you connect to MindPal (e.g., Google, Slack, GitHub)
  • "Output": AI-generated responses, content, or results produced by the Services

3. Account Registration & Security

3.1 Eligibility

You must be at least 16 years of age (or the applicable age of digital consent in your jurisdiction) to use the Services. By creating an account, you represent that you meet this requirement.

3.2 Account Credentials

You are responsible for:

  • Providing accurate, complete, and current registration information
  • Maintaining the security and confidentiality of your account credentials
  • All activities that occur under your account, whether authorized by you or not
  • Notifying us immediately at support@mindpal.io if you suspect unauthorized access

You may not:

  • Share your account credentials with others
  • Create multiple accounts to circumvent restrictions or abuse the Services
  • Use another person's account without permission

3.3 Account Suspension & Termination

We reserve the right to suspend or terminate your account if:

  • You violate these Terms or our Acceptable Use Policy (Section 4)
  • We detect fraudulent, illegal, or suspicious activity
  • We are required to do so by law or legal process
  • We reasonably believe continued access poses a security or legal risk

We will provide notice when feasible, but we may suspend or terminate immediately in cases of serious violations or security concerns.

4. Acceptable Use Policy

You agree to use the Services responsibly and lawfully. You may not:

4.1 Prohibited Activities

  • Violate any applicable laws, regulations, or third-party rights
  • Engage in fraud, scams, phishing, or deceptive practices
  • Harass, abuse, threaten, or harm others
  • Distribute malware, viruses, or malicious code
  • Attempt to gain unauthorized access to our systems or other users' accounts
  • Reverse engineer, decompile, or attempt to extract source code from our Services
  • Remove, obscure, or alter any proprietary notices or branding
  • Use the Services to build a competing product or service
  • Scrape, crawl, or exfiltrate data beyond normal use of the product features
  • Overload or disrupt our infrastructure through excessive automated requests

4.2 Prohibited AI Use Cases

When using AI features and agents, you may not:

  • Generate content that is illegal, harmful, hateful, or promotes violence
  • Create deepfakes or impersonate real people without clear disclosure
  • Generate spam, phishing content, or malicious communications
  • Attempt to jailbreak, manipulate, or bypass safety guardrails
  • Use the Services to develop weapons, facilitate illegal activity, or cause harm
  • Generate child sexual abuse material (CSAM) or other illegal imagery
  • Violate others' intellectual property, privacy, or publicity rights
  • Engage in automated decision-making that has legal or similarly significant effects on individuals without appropriate human oversight and safeguards

4.3 Enforcement

We may investigate suspected violations and take appropriate action, including:

  • Warning you and requesting you cease the violating activity
  • Removing or disabling access to violating content
  • Suspending or terminating your account
  • Reporting illegal activity to law enforcement
  • Taking legal action to protect our rights and users

5. AI Services & Limitations

5.1 Nature of AI Outputs

MindPal uses large language models and AI systems to generate outputs. Important limitations:

  • Not guaranteed accurate: AI outputs may contain errors, inaccuracies, hallucinations, or outdated information. Always verify critical information independently.
  • Not professional advice: Outputs do not constitute legal, financial, medical, or other professional advice. Consult qualified professionals for important decisions.
  • Not deterministic: The same prompt may produce different outputs at different times.
  • May reflect biases: AI models may exhibit biases present in their training data.

You are solely responsible for:

  • Reviewing, verifying, and validating AI outputs before relying on them
  • Ensuring outputs comply with applicable laws and regulations
  • Any decisions made or actions taken based on AI outputs
  • The accuracy and appropriateness of content generated using our Services

5.2 Agents & Automated Actions

When you create and deploy agents:

  • You authorize the actions: Agents perform tasks based on your instructions and with your authorization. You are responsible for agent behavior and any actions they take on your behalf.
  • Monitor agent activity: We provide execution logs to help you audit agent actions. Review these regularly.
  • Third-party integrations: When agents interact with Third-Party Services (e.g., sending emails, creating documents), those actions are subject to the third-party's terms and policies.
  • Revoke access anytime: You can disable agents, revoke third-party permissions, or disconnect integrations at any time.

We are not responsible for:

  • Errors, mistakes, or unintended actions performed by agents
  • Consequences of agent actions on Third-Party Services
  • Data loss or corruption resulting from automated workflows
  • Business outcomes or decisions based on agent-generated insights

5.3 Service Availability

We are committed to providing highly reliable, enterprise-grade service:

  • Uptime commitment: We strive to maintain the best possible uptime and service availability. Our infrastructure is designed for reliability and redundancy. While we work to minimize disruptions, the Services may occasionally be unavailable due to scheduled maintenance (announced in advance when possible), updates, or circumstances beyond our control (e.g., cloud provider outages, network issues, force majeure events).
  • Maintenance windows: We will attempt to schedule maintenance during off-peak hours and provide advance notice when feasible. Emergency maintenance may occur without prior notice to address critical security or stability issues.
  • Model availability: Specific AI models may be added, removed, or changed. We will provide reasonable notice when deprecating features to allow you to adjust your workflows.
  • Rate limits: We may impose reasonable rate limits, usage caps, or throttling to ensure fair use and system stability for all users.

5.4 Beta & Experimental Features

We may offer beta, preview, or experimental features ("Beta Features"):

  • Beta Features are provided "as-is" and may be unstable, incomplete, or subject to change
  • We may discontinue Beta Features at any time without notice
  • Beta Features may have reduced support or different terms
  • Use Beta Features at your own risk; they may not be suitable for production use

6. Customer Content & Data Ownership

6.1 Your Ownership

You retain all ownership rights to your Customer Content. You are solely responsible for:

  • The accuracy, quality, and legality of your Customer Content
  • Having necessary rights, permissions, and consents to submit Customer Content
  • Compliance with applicable laws when submitting and using Customer Content

6.2 License to MindPal

To provide the Services, you grant us a limited, worldwide, non-exclusive, royalty-free license to:

  • Use, process, store, and transmit your Customer Content
  • Send your Customer Content to AI model providers (e.g., OpenAI, Anthropic, Google) as necessary to generate Outputs
  • Make copies for backup, security, and operational purposes
  • Aggregate and anonymize data for analytics, research, and product improvement (in a way that does not identify you or your organization)

This license terminates when you delete your Customer Content or close your account, subject to reasonable retention for backups and legal obligations (see our Privacy Policy).

6.3 What We Don't Do

  • We do not use your Customer Content to train third-party foundation models (e.g., OpenAI's GPT, Anthropic's Claude) unless you explicitly opt in to a data contribution program
  • We do not sell your Customer Content or use it for advertising
  • We do not claim ownership of your ideas, inventions, or intellectual property

6.4 Feedback

If you provide suggestions, feedback, or ideas about the Services ("Feedback"), you grant us an unlimited, perpetual, royalty-free license to use that Feedback for any purpose, including product development, without compensation or attribution.

7. Third-Party Services & Integrations

7.1 Third-Party Integrations

MindPal allows you to connect Third-Party Services (Google Workspace, Slack, GitHub, etc.). When you do:

  • You authorize us to access data from those services according to the permissions you grant
  • Your use of Third-Party Services is subject to their own terms, policies, and pricing
  • We are not responsible for the availability, accuracy, security, or practices of Third-Party Services
  • You can revoke integrations at any time through your account settings or the third-party's permission management

7.2 Google API Services

If you connect Google services, additional terms apply. See our Privacy Policy Section 11 for details, including our compliance with Google's API Services User Data Policy and Limited Use requirements.

7.3 Third-Party Content & Links

The Services may contain links to external websites, resources, or services. We do not endorse or control these third parties and are not responsible for their content, practices, or availability.

8. Payment & Subscription Terms

8.1 Pricing & Plans

MindPal offers various subscription plans with different features, usage limits, and pricing. Current pricing is available at https://mindpal.space/pricing.

We reserve the right to change pricing with at least 30 days' notice for existing subscribers. Price changes will take effect at your next renewal.

8.2 Billing

  • Subscription billing: Fees are billed in advance on a monthly or annual basis (depending on your selected plan)
  • Payment method: You must provide a valid payment method. You authorize us to charge your payment method for all fees
  • Automatic renewal: Subscriptions automatically renew unless you cancel before the renewal date
  • Failed payments: If payment fails, we may suspend your account after reasonable notice and retry attempts

8.3 Cancellation & Refunds

  • Cancellation: You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of your current billing period
  • 14-Day Money-Back Guarantee: If you are not satisfied with your purchase, you may request a full refund within 14 days of your initial purchase or renewal. To request a refund, contact us at support@mindpal.io with your account details and reason for the refund request
  • Refund processing: Approved refunds will be processed within 5-10 business days to your original payment method
  • Free trials: If you cancel during a free trial, you will not be charged. We may terminate free trials early if we detect abuse
  • Refund abuse: We reserve the right to deny refunds if we detect patterns of abuse (e.g., repeated purchase and refund cycles)

8.4 Plan Changes

  • Upgrades: Take effect immediately; you will be charged a prorated amount for the remainder of your billing period
  • Downgrades: Take effect at the start of your next billing period

8.5 Taxes

Fees do not include taxes. You are responsible for all applicable taxes (VAT, sales tax, GST, etc.). We will collect taxes where required by law.

8.6 Fraudulent Activity

If we detect fraudulent payment activity or violation of these Terms, we may:

  • Immediately suspend or terminate your account
  • Process a refund for fraudulent purchases
  • Report the activity to payment providers or law enforcement

9. Intellectual Property

9.1 MindPal's IP

MindPal and its licensors own all rights, title, and interest in the Services, including:

  • Software, code, algorithms, and architecture
  • Designs, interfaces, logos, and branding
  • Documentation and training materials
  • Aggregated, anonymized usage data and insights

Your license: We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business or personal purposes, subject to these Terms. This license terminates when your account is closed or these Terms end.

Restrictions: You may not:

  • Copy, modify, distribute, or create derivative works of the Services
  • Sublicense, resell, or rent the Services to third parties
  • Use the Services to develop a competing product
  • Remove or alter any proprietary notices

9.2 AI-Generated Outputs

Subject to your compliance with these Terms and payment of applicable fees:

  • You own Outputs that are uniquely generated for you based on your Customer Content and prompts
  • However, Outputs may not be unique across users. If another user generates similar content with similar prompts, MindPal is not liable for duplicate or substantially similar Outputs
  • You are responsible for ensuring Outputs do not infringe third-party intellectual property rights

9.3 Brand Usage

You may not use MindPal's trademarks, logos, or branding without our prior written consent, except to identify MindPal as the service provider (e.g., "Powered by MindPal" with our approval).

10. Privacy & Data Protection

Your privacy is important to us. Our Privacy Policy explains how we collect, use, and protect your information. By using the Services, you agree to our Privacy Policy.

Key points:

  • We do not sell your personal data
  • We do not use your Customer Content to train foundation AI models (by default)
  • We use AWS infrastructure with encryption, access controls, and security monitoring
  • You can access, correct, delete, and export your data (see Privacy Policy Section 10)

For data processing terms required for enterprise customers (GDPR, CPRA, etc.), please contact us at support@mindpal.io to discuss a Data Processing Addendum (DPA).

11. Confidentiality

11.1 Confidential Information

"Confidential Information" means non-public information disclosed by one party to the other, including business plans, technical data, customer lists, pricing, and security practices, that is marked as confidential or would reasonably be understood to be confidential.

Confidential Information does not include:

  • Information that is or becomes publicly available through no fault of the receiving party
  • Information independently developed without reference to the disclosing party's Confidential Information
  • Information rightfully received from a third party without confidentiality obligations

11.2 Obligations

Both parties agree to:

  • Use Confidential Information only for purposes of performing under these Terms
  • Protect Confidential Information with at least the same care used for their own confidential information (but no less than reasonable care)
  • Not disclose Confidential Information to third parties except as permitted by these Terms or required by law

11.3 Permitted Disclosures

Each party may disclose Confidential Information:

  • To employees, contractors, and service providers who need to know and are bound by confidentiality obligations
  • As required by law or court order (with advance notice to the disclosing party when legally permitted)

12. Warranties & Disclaimers

12.1 Mutual Warranties

Each party represents and warrants that:

  • It has the legal authority to enter into these Terms
  • Its performance will comply with applicable laws

You additionally warrant that:

  • You own or have rights to your Customer Content
  • Your Customer Content and use of the Services do not violate any laws or third-party rights

12.2 DISCLAIMER OF WARRANTIES

While we are committed to providing highly reliable, enterprise-grade service (as described in Section 5.3), the Services are provided "as is" and "as available" to the maximum extent permitted by law.

EXCEPT FOR OUR EXPRESS COMMITMENTS IN SECTION 5.3, WE DISCLAIM WARRANTIES INCLUDING:

  • IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT
  • ABSOLUTE ACCURACY OR COMPLETENESS of AI Outputs
  • COMPLETELY UNINTERRUPTED OR ENTIRELY ERROR-FREE operation under all circumstances (including events beyond our reasonable control such as third-party infrastructure failures, network outages, or force majeure events)
  • OUTPUTS MEETING ALL YOUR REQUIREMENTS or being suitable for every particular purpose
  • SPECIFIC RESULTS OR BUSINESS OUTCOMES from using the Services

AI-SPECIFIC DISCLAIMERS:

  • AI Outputs may be inaccurate, incomplete, biased, or inappropriate for certain use cases
  • We do not warrant that AI Outputs are original, non-infringing, or legally compliant in all jurisdictions
  • We do not warrant that agents will perform flawlessly or produce desired results in every scenario

We maintain our commitment to uptime and reliability as described in Section 5.3. These disclaimers apply to circumstances beyond our reasonable control and to the inherent limitations of AI technology.

Some jurisdictions do not allow exclusion of implied warranties, so some of the above may not apply to you.

13. Limitation of Liability

13.1 EXCLUSION OF DAMAGES

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MINDPAL AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, SUPPLIERS, AND LICENSORS SHALL NOT BE LIABLE FOR:

  • INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
  • LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES
  • COST OF SUBSTITUTE GOODS OR SERVICES
  • DAMAGES RESULTING FROM:
    • AI Output inaccuracies, errors, or omissions
    • Agent actions or automated workflows
    • Third-Party Service disruptions or data breaches
    • Unauthorized access to your account
    • Errors, bugs, or service interruptions
    • Your reliance on AI Outputs or decisions based on them

THIS APPLIES EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

13.2 DAMAGE CAP

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF:

  • $100 USD, or
  • The total amount you paid us in the 12 months before the event giving rise to liability

13.3 Basis of the Bargain

You acknowledge that the limitations in this Section 13 are fundamental elements of these Terms and that we would not provide the Services without these limitations.

13.4 Exceptions

These limitations do not apply to:

  • Our indemnification obligations (Section 14)
  • Liability that cannot be excluded or limited by law (e.g., fraud, gross negligence, willful misconduct)

14. Indemnification

14.1 Your Indemnification

You agree to indemnify, defend, and hold harmless MindPal and its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from:

  • Your use or misuse of the Services
  • Your Customer Content (including claims that it infringes third-party rights or violates laws)
  • Your violation of these Terms or applicable laws
  • Agent actions taken on your behalf or at your direction
  • Your Third-Party Service integrations

14.2 Our Indemnification

We agree to indemnify you against third-party claims that the Services, when used as permitted under these Terms, infringe that third party's intellectual property rights, provided you:

  • Promptly notify us of the claim
  • Give us sole control of the defense and settlement
  • Provide reasonable cooperation

Our indemnification does not apply if the claim arises from:

  • Your Customer Content or use of the Services in violation of these Terms
  • Modifications to the Services not made by us
  • Combination of the Services with third-party products
  • Your continued use after we notified you to stop due to infringement

Our sole remedy: We may, at our option:

  • Obtain rights for you to continue using the Services
  • Replace or modify the Services to be non-infringing
  • Terminate your account and refund prorated fees for the unused period

15. Term & Termination

15.1 Term

These Terms begin when you accept them (by creating an account or using the Services) and continue until terminated.

15.2 Termination by You

You may terminate at any time by:

  • Canceling your subscription through your account settings
  • Sending a termination notice to support@mindpal.io

Termination takes effect at the end of your current billing period. You remain responsible for fees through that period.

15.3 Termination by Us

We may suspend or terminate your account:

  • For cause (violation of these Terms, non-payment, illegal activity): immediately upon notice
  • For convenience: with 30 days' advance notice
  • If required by law or legal process: as required

15.4 Effect of Termination

Upon termination:

  • Your right to access and use the Services immediately ends
  • We will delete or de-identify your Customer Content according to our Privacy Policy retention schedule (typically 90 days for prompts/files, with backups retained for 35 days)
  • You may request a data export before termination (contact support@mindpal.io)
  • Sections that by their nature should survive (Sections 6.4, 9, 12, 13, 14, 16, 17) will survive termination

Refunds are subject to our refund policy (Section 8.3). You may request a refund if your termination is within 14 days of purchase or renewal.

16. Dispute Resolution & Governing Law

16.1 Governing Law

These Terms are governed by the laws of State of Delaware, USA, without regard to conflict of law principles.

16.2 Informal Resolution

Before filing a claim, you agree to contact us at support@mindpal.io and attempt to resolve the dispute informally. We'll do the same if we have a dispute with you.

17. General Provisions

17.1 Entire Agreement

These Terms, together with our Privacy Policy and any written agreements you've signed with us, constitute the entire agreement between you and MindPal regarding the Services and supersede all prior agreements and understandings.

17.2 Amendments

We may modify these Terms at any time. We will notify you of material changes by:

  • Posting the updated Terms on this page with a new "Effective Date"
  • Sending an email to your registered email address
  • Displaying an in-app notification

Your continued use of the Services after the effective date constitutes acceptance. If you do not agree to the changes, you must stop using the Services and cancel your account.

17.3 Waiver

Our failure to enforce any provision of these Terms does not waive our right to enforce it later. Any waiver must be in writing and signed by us.

17.4 Severability

If any provision of these Terms is found invalid or unenforceable, the remaining provisions will remain in full effect, and the invalid provision will be modified to the minimum extent necessary to make it valid and enforceable.

17.5 Assignment

You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms (e.g., in a merger or acquisition) with notice to you. These Terms bind and benefit each party's permitted successors and assigns.

17.6 Force Majeure

Neither party is liable for delays or failures to perform due to circumstances beyond their reasonable control, including acts of God, natural disasters, war, terrorism, pandemics, government actions, labor disputes, or infrastructure failures (e.g., internet outages, cloud provider outages).

17.7 Export Compliance

The Services may be subject to export control laws. You may not use or export the Services in violation of U.S. export laws or other applicable export restrictions.

17.8 U.S. Government Users

If you are a U.S. government entity, the Services are "commercial computer software" and "commercial computer software documentation" with only those rights granted to all users under these Terms.

17.9 Independent Contractors

The parties are independent contractors. These Terms do not create a partnership, franchise, joint venture, agency, fiduciary, or employment relationship.

17.10 Notices

Notices to you may be sent to your account email address and will be deemed delivered 24 hours after sending. Notices to us should be sent to support@mindpal.io

17.11 Language

These Terms are written in English. Any translated versions are provided for convenience only. In case of conflict, the English version controls.
